Terms of Service

1. Agreement to Terms

By accessing or using the celerity AI platform ("Service") operated by celerity AI ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

celerity AI is an Assisted Intelligence platform designed for freight forwarders. The Service provides:

  • Email ingestion — Automated reading and classification of freight-related emails from connected email accounts (Gmail, Outlook, IMAP)
  • AI document processing — OCR, tagging, and parsing of shipping documents, rate sheets, and commercial correspondence
  • Quotation management — Rate extraction, quotation preparation, and pricing workflows
  • Business intelligence — Dashboards, analytics, and management reporting
  • AI assistant (Teo) — Contextual chat assistant with access to your business data and freight domain knowledge

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years of age

You are responsible for all activity that occurs under your account, including actions taken by other users within your organization who access the Service through your tenant.

4. Subscription & Payment

Access to the Service requires a paid subscription. Subscription details, pricing, and billing terms will be specified in your service agreement or order form. Unless otherwise agreed:

  • Subscriptions are billed in advance on a monthly or annual basis
  • Fees are non-refundable except as required by law
  • We reserve the right to modify pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service's infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to process data unrelated to freight forwarding operations
  • Share your account credentials with unauthorized parties
  • Resell or sublicense access to the Service without our written consent

6. Your Data

You own your data. You retain all rights to the business data you upload or that is processed through the Service (emails, documents, rates, contacts, etc.).

You grant us a limited license to process your data solely to provide and improve the Service. This includes using AI models to classify, extract, and analyze your business documents.

We do not use your data to train AI models. Your business data is processed through third-party AI providers (Mistral AI) for document processing only — it is not retained or used for model training.

Each customer's data is stored in a dedicated, isolated database. Your data is never accessible to other customers.

7. Third-Party Integrations

The Service integrates with third-party services including Google (Gmail), Microsoft (Outlook), and IMAP email providers. Your use of these integrations is subject to the respective third-party terms of service:

You may disconnect third-party integrations at any time from your account settings.

8. Intellectual Property

The Service, including its software, design, features, and documentation, is owned by celerity AI and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service.

"celerity AI", the celerity logo, and "Assisted Intelligence" are trademarks of celerity AI.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, celerity AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

The Service uses AI for document processing and data extraction. While we strive for accuracy, AI-generated outputs (extracted rates, classifications, summaries) should be reviewed by qualified personnel before making business decisions. We are not liable for errors in AI-generated outputs.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that AI processing results will be error-free or that the Service will meet all of your specific requirements.

12. Termination

Either party may terminate these Terms with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or engage in conduct that threatens the security or integrity of the Service.

Upon termination:

  • Your access to the Service will cease
  • You may request an export of your data within 30 days
  • Your data will be deleted within 90 days of termination
  • Sections that by their nature should survive (Limitation of Liability, Intellectual Property, Governing Law) will remain in effect

13. Indemnification

You agree to indemnify and hold harmless celerity AI from any claims, damages, or expenses arising from: (a) your use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Taipei, Taiwan.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.
